NAME
The name of this organization shall be: PERHAM SPORTSMAN’S CLUB also known as the abbreviation of PSC. The mailing address shall be:

ARTICLE II
PURPOSE
To foster, expand, and perpetuate the use of our local outdoor habitat, and unify and provide for a social venue for all types of sportsmen. To maintain and advance the motto “all things to all sportsmen” and exist without prejudice and treat all sports and events fostered by the club as equal. To have a good fellowship among all other outdoor groups and to cooperate with all conservation organizations in the propagation and conservation of game. To maintain, and enjoy the respect and friendship of the community. To help keep all local financial outdoor contributions local
ARTICLE III
MEMBERSHIP
Active membership shall be granted to anyone who has attained there eighteen (18) birthday, upon application and payment of fees and dues and upon approval of the Secretary as to good moral chararacter and sportsmanship. There shall be the following membership classes: Family and Family Life.

VOTING
1. Voting at the annual election and bi-annual business meetings shall be limited to one vote for each member who is currently paid in full.
2. Each Board member is entitled to one vote on any given subject, or any given motion. Each officer shall have one vote at all Board meetings.
3. The President will only have a vote in a tiebreak situation
ARTICLE IX
FISCAL YEAR
1. The fiscal year of the Club shall be from January 1st to December 31st.
ARTICLE X
FEES AND DUES
1. The membership fee for active family member shall be $ 60.00
2. The membership fee for active family lifetime member shall be $ 1,000.00
3. All activity fees will be set by each individual sports committees.
ARTICLE XI
AMENDMENTS
1. This Constitution may be amended by two-thirds (2/3) of the current paid members present at the annual election. bi-annual business or special purpose meetings.
ARTICLE XII
BY-LAWS
1. All By-Laws are merely operating procedures of a club and should be placed in the books for record.
2. By-Laws may be adopted or amended at any annual election, bi-annual business or special purpose meetings with a simple majority vote of the current paid membership.
CLUB STRUCTURE
1. The PSC will be made up from groups of similar outdoor interest, but with specific outdoor passions.

ARTICLE III
MEMBERSHIP

- The family membership will consist of one active member and their legal spouse. Family membership will also consist of any legal dependents that have not reached the age of eighteen (18) along with any dependents who are considered full time students up to the age of twenty-one (21).
- The family life membership (membership for life) will consist of one active member and their legal spouse. Family membership will also consist of any legal dependents that have not reached the age of eighteen (18) along with any dependents who are considered full time students up to the age of twenty-one (21).
- All membership shall expire year to year except for life members.
- The Board of Governors may suspend or expel any member or denied for membership any person who’s conduct is detrimental to the interests of the Perham Sportsman’s Club.
ARTICLE IV
BOARD OF GOVERNORS
- The Board of Governors shall consist of a President, Vice President, Secretary and Treasurer, and six (6) regular members.
- The Board of Governors shall control and manage the policies, property and supervise over the activities of the club in accordance with the Constitution and By-Laws.
- At any meeting of the Board, five (5) members of the Board shall constitute a quorum.
- All vacancies of the Board or any office shall be filled by appointment by the remaining Board of Governors.
- The Board shall meet as often as deemed necessary for the performance of their duties, at a time and place fixed by the President.
ARTICLE V
OFFICERS AND THEIR DUTIES
- The officers of the club shall consist of a President, Vice President, Secretary, and Treasurer.
- The President shall preside at all meetings, appoint all committees non applicable to individual sport committees, and shall in general perform the duties incident to their office.
- The Vice-President shall perform the duties of the President if they are unable to act.
- The Secretary shall keep all records of the club, serve all notices of meetings, conduct all correspondence and present a written report at the annual meetings and in general perform all duties incident to their office.
- The Treasurer shall receive all monies of the club. They shall keep accurate records of the receipts and disbursements and make a monthly report to the officers and present a written report at he annual meetings, and in general have the powers to perform the duties incident to his office.
ARTICLE VI
ELECTIONS AND TERMS OF OFFICE
- At the annual election meeting the membership shall elect the President, Vice President, Secretary and Treasurer. The officers shall be elected for a term of two years.
- At the annual election meeting the membership shall elect three (3) Board members. The Board members shall be elected for a term of two years.
- All elected Officers and Board members shall take office the day after the annual election meeting.
ARTICLE VII
MEETINGS
- All meetings shell be held the third Monday of each month. Time and place to be set by club President.
- If the third Monday would fall on a holiday, the meeting would be moved to the following Monday.
- There shall be one (1) annual election meeting and two (2) bi-annual business meetings per year.
- The annual election meeting along with the first bi-annual business meeting shall be held at the January meeting.
- The second bi-annual business meeting shall be held at the July meeting
- All other meetings unless called as a special business meeting shall be an entertainment meeting. The entertainment meetings will still have all reports read by Officers and Board members. In put from members is encouraged, but all voting will be reserved for election and business meetings

CLUB STRUCTURE

- Each sports group will be guided by its own volunteer committee, and headed up by one of the elected club officers or board member.
- All individual sports and projects will be self-funding and operate within their own budget.
- The officers and board members elected by the members would manage the club.
